NORD Holding Unternehmensbeteiligungsgesellschaft mbH ("NORD Holding") and its fund Deutsche Mittelstandsholding für Industriebeteiligung II GmbH & Co. KG, have sold their majority stake in Dr. Födisch Umweltmesstechnik AG, a leading company in environmental, process, and analysis technology, to the publicly traded company ABB Ltd. ("ABB").

The group, specialized in industrial emission measurements, is undergoing a change in its shareholder structure. The leading technology company ABB, based in Switzerland and specializing in electrification and automation, will acquire all shares, subject to regulatory approvals. The transaction is expected to becompleted before the end of the year 2024.

For NORD Holding, the exit of the Dr. Födisch Group to ABB marks the culmination of strong business development over the past few years. The focus on expanding international sales, extensive research and development activities resulting in new generations of devices, a strong customer and service orientation, and the practical implementation of environmental regulations have been key to this success. Additionally, the Dr. Födisch Group has continuously expanded its business activities in recent years through strategic acquisitions: in 2021, the acquisition of Testa GmbH (Munich), which focuses on FID measurement technology, was completed, and in 2023, the leading service provider from the Netherlands, Multi Instruments B.V., joined the group.

"ABB is the perfect strategic partner for the Dr. Födisch Group, its employees, and its future development. As a transformation partner for growth and innovation, we invest in the most promising companies in the DACH region - benefiting our investors, portfolio companies, and stakeholders. With the sale to the global technology leader ABB, we can once again demonstrate that we create real value and are a preferred choice for strategic buyers," said Andreas Bösenberg, Managing Director of NORD Holding, the majority shareholder.

"Measurement and analytics technologies are key to improving the sustainability of industrial processes. The Dr. Födisch Group fits perfectly into this profile and showcases our expertise in sensor and measurement technology and will now find the perfect new home with ABB," added Marcel Rosengarten, Investment Manager at NORD Holding.

"Over the years, the Dr. Födisch Group has established itself a renowned reputation in environmental and process measurement technology in Europe, thanks to its passionate and highly skilled team. The acquisition by ABB will enable us to scale and promote our strong offerings internationally by leveraging ABB's global presence," said Stephan Schumann, CEO of Dr. Födisch Umweltmesstechnik AG, the parent company of the Dr. Födisch Group.

The transaction was executed by Andreas Bösenberg and Marcel Rosengarten on behalf of NORD Holding.
